Terms and parties
These Terms of Service govern access to and use of FactNot, operated by Factnot LLC, as an open beta. FactNot support, privacy, security, copyright, and legal notices route through the contact addresses listed in these Terms and related policy pages. A signed agreement or official notice may provide different notice or DMCA agent details for a specific account.
- "FactNot," "we," "us," and "our" mean Factnot LLC, its affiliates, and its service providers where the context requires.
- "You" means the person using FactNot and, if you use FactNot for an organization, that organization.
- If an enterprise order form, data processing addendum, or signed agreement conflicts with these Terms, the signed agreement controls for that account.
Eligibility and accounts
You may use FactNot only if you can form a binding contract and are at least 18 years old. The English version controls this global friends beta. You are responsible for the activity under your account and for keeping account credentials, tokens, API keys, and connected tools secure.
- Provide accurate account, billing, and organization information and keep it current.
- Use FactNot for an organization only if you have authority to bind that organization to these Terms.
- Notify us promptly at support@factnot.com if you believe your account, token, API key, or workspace has been compromised.
Service scope
FactNot is an AI-assisted knowledge workspace for collecting, structuring, searching, discussing, verifying, and publishing cited facts, entities, people, views, spaces, source records, alerts, embeds, exports, and related research workflows.
- The Service may include web app features, background agents, newsletters, exports, embeds, APIs, MCP tools, and integrations.
- Features may be free, paid, trial, beta, experimental, usage-limited, or enterprise-only.
- Beta, preview, agentic, API, MCP, and AI-assisted features are provided for evaluation and may change, fail, or be withdrawn.
Beta access and premium status
FactNot is currently offered as an open beta for adults. Email signup is available; premium billing, paid subscriptions, and bank/payment onboarding are not enabled.
- Beta access does not create an entitlement to future paid features, prices, limits, data retention, uptime, or availability.
- Premium-style access may be granted manually for evaluation, support, or founder-led onboarding while billing remains disabled.
- If you see a premium label during beta, treat it as a product-access state, not a payment offer or paid subscription.
AI and factual output
FactNot uses automated extraction, retrieval, summarization, classification, verification, and recommendation systems. AI-assisted output, confidence scores, citations, labels, and review signals may be inaccurate, stale, incomplete, duplicated, offensive, misattributed, or inconsistent.
- Do not rely on FactNot as a sole source of truth. Independently verify important information against primary sources before relying on or sharing it.
- AI-generated or AI-assisted content does not represent FactNot's opinion unless we expressly say so in writing.
- FactNot may label, relabel, archive, downrank, flag, remove, or correct AI-assisted content, but has no obligation to pre-screen all content.
No professional or consequential decisions
FactNot is not a law firm, financial adviser, investment adviser, employment screener, credit bureau, medical provider, insurer, government agency, or professional-services substitute.
- Do not treat FactNot content as legal, financial, investment, tax, medical, compliance, hiring, lending, insurance, housing, sanctions, or other regulated advice.
- Do not use FactNot output about a person to make decisions that could have a legal, financial, employment, educational, housing, insurance, medical, credit, or similarly material impact on that person.
- You are responsible for human review and for deciding whether FactNot is appropriate for your use case.
Your content
As between you and FactNot, you retain ownership of content you submit to FactNot, including facts, views, comments, messages, drafts, source metadata, prompts, uploads, profile details, and workspace materials.
- You represent that you have the rights, permissions, and lawful basis needed to submit and use your content in FactNot.
- You grant FactNot a non-exclusive, worldwide, royalty-free license to host, store, process, reproduce, display, transmit, adapt, index, analyze, moderate, secure, and otherwise use your content to provide, maintain, protect, support, and improve the Service.
- This license lasts as long as needed to provide the Service, comply with law, resolve disputes, enforce these Terms, maintain backups, and preserve public or shared content that you chose to publish or share.
Public, shared, and exported content
Some FactNot features let you make content public, discoverable, shared with collaborators, embedded on external pages, exported, or accessible through links, APIs, or MCP tools.
- Public or discoverable content may be viewed, linked, searched, indexed, shared, embedded, exported, and displayed through FactNot features while it remains public or discoverable.
- Publishing content in FactNot does not grant a Creative Commons, open-content, or database-wide reuse license unless a separate written license says so.
- If you export or share FactNot content outside the Service, you are responsible for source attribution, copyright compliance, privacy, confidentiality, and downstream use.
Private spaces and organization access
Private spaces, drafts, messages, libraries, source bodies, and collaborator-only materials are governed by product permissions, but those permissions are not a guarantee that no one else can ever access the content.
- Workspace owners, organization administrators, invited collaborators, support staff, security staff, and legal/compliance reviewers may have access where permitted by product settings, organization controls, support needs, security needs, law, or these Terms.
- If you join a space or organization account, your access and content may be managed, transferred, suspended, exported, or deleted by authorized administrators.
- Do not submit confidential, regulated, or highly sensitive information unless your plan, agreement, and internal approvals permit that use.
Sources, citations, and ingestion
FactNot is designed for cited research. You must respect publisher, source, database, and website rights when saving, ingesting, extracting, summarizing, quoting, linking, or exporting source material.
- Do not ingest, upload, request, or store paywalled content, content behind access controls, content from sites that prohibit scraping or automated access, or content you do not have rights to use.
- Do not bypass robots.txt, technical blocks, passwords, paywalls, rate limits, DRM, security controls, or source terms.
- Preserve citations, URLs, publisher names, authors, publication dates, retrieved dates, license information, and source restrictions when they are available.
- Do not store or redistribute full text unless you have a license, permission, public-domain basis, or other lawful basis to do so.
Acceptable use
You must use FactNot lawfully and responsibly. You must not use FactNot to harm people, violate rights, disrupt systems, or mislead others.
- Do not submit unlawful, infringing, defamatory, fraudulent, misleading, harassing, hateful, obscene, invasive, doxxing, impersonating, spam, or malware-related content.
- Do not scrape, crawl, bulk export, resell, train models on, benchmark, or build competing datasets from FactNot content except through features and permissions we expressly provide.
- Do not probe, scan, load test, bypass access controls, reverse engineer non-public systems, interfere with the Service, or use FactNot to compromise computers, accounts, networks, or infrastructure.
- Do not use FactNot for deceptive political, civic, lobbying, voter-targeting, surveillance, sanctions-evasion, export-control, or unlawful intelligence activities.
Moderation and enforcement
FactNot may investigate, reject, block, remove, archive, restore, downrank, relabel, annotate, restrict, suspend, or terminate content, accounts, workspaces, agents, API keys, MCP clients, and integrations.
- We may act when content appears inaccurate, unsafe, unlawful, infringing, abusive, source-restricted, privacy-invasive, security-sensitive, or inconsistent with these Terms.
- We may preserve and disclose information when needed for security, abuse prevention, legal process, user safety, product integrity, or enforcement.
- We are not responsible for delays or failures in reviewing, removing, correcting, or preserving user content.
Paid plans, credits, API, and MCP
FactNot may later offer free, paid, freemium, credit-based, trial, API, MCP, enterprise, and usage-limited plans. Paid terms shown at checkout, in an order form, or in a signed agreement apply in addition to these Terms.
- During beta, self-serve paid subscriptions are disabled unless the product explicitly presents a checkout or signed order process.
- Once paid plans are enabled, subscriptions may renew automatically until canceled and you will be responsible for fees, taxes, usage charges, overages, and accurate billing information.
- Credits, rate limits, model access, agent runs, exports, API calls, MCP calls, storage, and verification usage may expire, reset, be capped, or change.
- Self-serve billing is not enabled during the friends beta. If billing is later enabled, checkout or an order form will identify the processor and any additional payment, support, service-level, security, privacy, and termination terms before a charge.
FactNot intellectual property
FactNot and its licensors own the Service, including software, workflows, UI, design, documentation, brand elements, non-user-created metadata, confidence and verification systems, ranking systems, database selection and arrangement, and other protected materials.
- These Terms give you a limited, non-exclusive, non-transferable, revocable right to use the Service as permitted by your plan and these Terms.
- FactNot does not claim ownership of underlying public facts or third-party source content merely because those materials are referenced in the Service.
- You may not use FactNot names, logos, branding, or confusingly similar marks without our written permission.
Third-party services and content
FactNot may rely on third-party infrastructure, model providers, source websites, payment processors, email providers, analytics providers, identity providers, browser clients, MCP clients, APIs, and integrations.
- Third-party services and content are governed by their own terms, policies, licenses, limits, and availability.
- We are not responsible for third-party content, outages, model behavior, source restrictions, payment processing failures, or integration changes.
- You are responsible for complying with third-party terms when you connect accounts, import content, export content, or use integrations.
Copyright and DMCA
FactNot respects intellectual property rights and expects users to do the same. During beta, copyright owners may send notices about allegedly infringing content to copyright@factnot.com. A suitable public postal notice address remains pending approval and is not inferred from the registered-agent address.
- FactNot does not claim registered DMCA designated-agent status unless a registered agent is listed in the U.S. Copyright Office directory and published in the Service.
- A copyright notice should identify the copyrighted work, the allegedly infringing material, contact information, a good-faith statement, an accuracy statement under penalty of perjury, and a physical or electronic signature.
- We may remove or disable access to allegedly infringing material and may terminate repeat infringers where appropriate.
- If your content was removed by mistake, you may send a counter-notice that satisfies applicable law.
Privacy, data use, security, and newsletters
Use of FactNot is also governed by the Privacy Policy, Data Use page, Security page, and any applicable data processing terms. Those documents are reviewed against current product behavior, vendors, and commitments.
- Claims such as no AI training, fixed retention, encryption at rest, subprocessors, or compliance status apply only where the engineering setup and vendor contracts support them.
- FactNot may send service, security, account, billing, product, and newsletter communications. You can unsubscribe from marketing or newsletter emails where required, but we may still send transactional messages.
- Security reports should be sent to security@factnot.com. Privacy and data requests should be sent to privacy@factnot.com.
Availability, changes, and termination
We may change, suspend, discontinue, restrict, or replace all or part of the Service, including plans, prices, limits, models, agents, source connectors, APIs, MCP tools, and features.
- We may suspend or terminate access if you violate these Terms, create risk, fail to pay, exceed limits, misuse sources, or use the Service in a way that could harm FactNot, users, sources, or third parties.
- You may stop using FactNot at any time. Account deletion, content deletion, exports, backups, audit logs, legal holds, public content, and organization-controlled content may be handled under product settings and applicable policies.
- Sections that by nature should survive termination will survive, including ownership, licenses, payment obligations, disclaimers, liability limits, indemnity, dispute terms, and general terms.
Disclaimers and liability limits
To the maximum extent allowed by law, FactNot is provided as-is and as-available, without warranties of accuracy, completeness, reliability, availability, merchantability, fitness for a particular purpose, non-infringement, or error-free operation.
- You use FactNot, sources, AI output, citations, exports, embeds, APIs, MCP tools, and integrations at your own risk.
- To the maximum extent allowed by law, FactNot will not be liable for indirect, incidental, special, consequential, exemplary, punitive, lost-profit, lost-data, business-interruption, reputational, source-rights, or reliance damages.
- To the maximum extent allowed by law, FactNot's total liability for all claims will be limited to the greater of fees you paid to FactNot for the Service in the 12 months before the claim or USD $100.
Indemnity
You will defend, indemnify, and hold harmless FactNot, its affiliates, personnel, contractors, service providers, and licensors from claims, damages, losses, liabilities, costs, and expenses arising from your use of the Service or your violation of these Terms.
- This includes claims related to your content, source materials, exports, public sharing, API or MCP usage, integrations, account activity, unlawful conduct, infringement, privacy violations, defamation, and misuse of AI output.
- FactNot may control the defense of any matter subject to indemnity, and you must cooperate reasonably.
- Enterprise agreements may replace or modify this section.
Disputes and Wyoming law
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules.
- For non-enterprise users, disputes should be resolved by binding individual arbitration unless an exception applies. Class actions, class arbitrations, and jury trials should be waived to the extent allowed by law.
- Either party may bring qualifying matters in small-claims court and may seek injunctive or equitable relief for intellectual property, security, unauthorized access, or misuse of the Service.
- Enterprise agreements may specify different venue, governing law, dispute, notice, and remedy terms.
Changes, notices, and general terms
We may update these Terms from time to time. Material Terms, Community Guidelines, or beta-contract changes create a new binding policy bundle and require renewed clickwrap before continued product access, unless immediate action is needed for security, legal, or abuse-prevention reasons.
- A privacy-notice-only update is presented as a non-blocking notice unless counsel marks the change as binding; it does not silently rewrite an earlier acceptance.
- You may not assign these Terms without our consent. FactNot may assign them as part of a merger, acquisition, financing, reorganization, or sale of assets.
- If any part of these Terms is unenforceable, the rest remains in effect. Failure to enforce a provision is not a waiver.
- Legal notices may be sent to legal@factnot.com. A suitable public postal notice address remains pending approval and will be published only after it is confirmed for that use.
